1. Preamble and Scope
1.1 LOLA market FlexCo, Lindengasse 56/18-19, 1070 Vienna ("LOLA", "we", "us") operates the LOLA app ("App"), which serves as an online marketplace with community features ("Community Marketplace") and is provided via app stores.
1.2 Through the App, registered users, whether private individuals, companies, or associations, can offer items for sale, gifting, or rental (for free or for a fee). LOLA provides the App to users free of charge.
1.3 These Terms and Conditions ("T&Cs") apply to all users of the App. By clicking the corresponding checkbox during registration, the user accepts these T&Cs.
1.4 Any differing, conflicting, limiting, or supplementary terms of the user shall only apply if LOLA has expressly accepted them in writing.
2. Registration and User Account
2.1 Full use of the App requires prior registration. Users must be at least 18 years old and fully legally competent to register.
2.2 After entering their data, users receive a confirmation link by email. The account is activated upon confirmation by the user.
2.3 Users undertake to provide accurate and complete information and to keep their account details up to date.
2.4 During onboarding, users can select categories as interests, which can later be adapted in their profile. On the homepage, these interests are displayed in a categories carousel.
2.5 Users may also register via a single sign-on service (SSO) such as Google, Apple, or Facebook. In this case, the SSO login replaces the separate registration process with LOLA, and relevant information from the external service is transmitted to LOLA. Regardless of SSO use, the user confirms that they are of legal age and accept these T&Cs.
2.6 Users must keep their login credentials confidential and protected against access by third parties. Users must notify LOLA immediately if their credentials are used without authorization. LOLA is not liable for damages resulting from the user's negligent sharing or loss of credentials.
2.7 LOLA does not guarantee the accuracy, timeliness, or completeness of the information provided by users during registration or account use. LOLA does not verify the identity, professional qualifications, or any required permits of the user. Users are solely responsible for meeting all legal requirements to conduct their activities and for fulfilling any tax obligations.
3. Subject of Services: Community Marketplace
3.1 The App functions as an online marketplace with community features (Community Marketplace). Users may use the App to offer items for sale, gifting, or rental, or to request items through search postings ("Listings"). LOLA provides only the platform and is not obligated to actively promote Listings.
3.2 LOLA is not required to proactively verify Listings for content, accuracy, timeliness, misuse, or errors. LOLA may, however, assign Listings to appropriate categories or filters and is not obligated to publish Listings at a specific time.
3.3 By posting a Listing, the user explicitly consents to its publication. The user ensures they are entitled to provide the information and data in the Listing, including all necessary rights and licenses. LOLA is not responsible for the legality of user-provided content.
3.4 Users may use the Autofill function when creating a Listing. This feature selects the transaction type and product parameters, queries the condition, assigns a category, and automatically fills in the title and description. Based on statistical correlations, a price recommendation is generated, which may contain errors. All details can be edited by the user.
3.5 Users are prohibited from posting duplicate or nearly identical Listings.
3.6 Other users may search for items in the App and contact each other via the chat function to conclude agreements. The scope of the agreement, price, payment terms, and any applicable additional conditions are agreed between the users. Contracts are concluded exclusively between users; LOLA is not a party to such agreements.
3.7 Listings never constitute a binding offer by LOLA. LOLA is not liable for the conclusion or enforceability of transactions between users or for the success of a Listing. LOLA does not act as an intermediary and does not provide payment services.
3.8 Special provisions for commercial users: Users contracting with consumers warrant that they comply with all applicable consumer protection laws, including information and disclosure obligations (e.g., KSchG, FAGG, ECG). LOLA is not responsible for compliance, and commercial users shall hold LOLA harmless from any violations.
3.9 Users may search using keywords and sort/filter results by various criteria. Key parameters and their weighting are displayed in the App.
3.10 Users may activate a search agent to receive automatic notifications when new content matches their saved search criteria.
3.11 Users can add individual Listings to a personal watchlist, accessible at any time through their profile.
3.12 Users may create different group types: Private groups (by invitation only, not visible to others), Closed groups (join by invitation or request, visible to all), and Open groups (freely accessible and publicly visible). Groups can be linked to marketplace functions and include parameters such as categories or transaction types.
3.13 Users may start a 1:1 chat based on a Listing or a 1:n chat within a group.
3.14 Users may use the share function to share profiles, Listings, or groups internally within the platform or externally via other services.
3.15 LOLA may perform maintenance at its discretion, which may temporarily interrupt availability. Where possible, LOLA will provide advance notice of maintenance windows.
4. Usage Restrictions
4.1 To ensure safe and lawful use, users are prohibited from:
(1) Providing false or misleading information;
(2) Promoting or engaging in illegal activities;
(3) Violating the rights of others (including privacy and data protection) or posting content that may result in civil or criminal liability;
(4) Decompiling, reverse engineering, copying, transmitting, or otherwise exploiting the App, unless permitted by copyright law;
(5) Crawling, scraping, caching, or otherwise analyzing content automatically;
(6) Misrepresenting identity or affiliation with any person or entity;
(7) Using the App in ways that disrupt, suspend, slow, or interfere with the App or infrastructure, overload system resources, or circumvent security measures;
(8) Using the App for purposes other than those intended.
4.2 LOLA may review, block, or remove content if there is reasonable suspicion of violations. Moderation is manual. Users may appeal by email to [email protected], specifying the content and reasons. LOLA will review and respond manually.
4.3 In cases of severe violations, LOLA may restrict or terminate the user's access and terminate the agreement immediately. Users have no claims for damages.
5. Intellectual Property and Industrial Rights
5.1 All App elements, including text, images, illustrations, database structure, and content, are protected by copyright and industrial property rights. Users may only use the App in accordance with the T&Cs; no further rights are granted.
5.2 By posting a Listing, the user grants LOLA a non-exclusive, transferable, sublicensable, royalty-free, worldwide, perpetual, and revocable license to reproduce, distribute, modify, edit, publish, or make publicly available the content as necessary for App use. Users acknowledge that Listings may be viewed by other users.
5.3 If a user deletes their account or Listings, LOLA will remove them from the App within a reasonable time, except for information necessary for chats or watchlists. Due to the viral nature of online content, dissemination to third parties may remain outside LOLA's control.
6. Liability
6.1 The App is provided with due care; errors or disruptions cannot be entirely prevented.
6.2 For commercial users, LOLA is only liable for intentional or grossly negligent damages (excluding personal injury). Liability for consequential damages, lost profits, lost or altered data, indirect damages, or third-party claims is excluded. Claims must be made within one year of knowledge.
6.3 For consumer users, LOLA is liable only for damages caused intentionally or by gross negligence. Liability for slight negligence is excluded, except for personal injury, life, health, mandatory product liability, or breach of essential obligations.
7. Term and Termination
7.1 Users may delete their account at any time, ending the user relationship.
7.2 LOLA may terminate the user agreement with 30 days' notice.
7.3 Both parties may terminate immediately for good cause.
8. Jurisdiction and Governing Law
8.1 Exclusive jurisdiction for disputes involving consumers without residence or employment in Austria is the competent court for 1010 Vienna.
8.2 Austrian law applies exclusively, excluding international conflict-of-law rules and the CISG. Consumer protection provisions of the user's residence remain unaffected.
9. Amendments to T&Cs
9.1 LOLA may amend the T&Cs when required by law or court/authority decisions.
9.2 Other amendments are only permitted if they do not affect primary obligations or worsen the user's legal position. Users are notified by email; T&Cs are deemed accepted if not objected to within two (2) weeks. Objections may be sent by email or post.
10. Final Provisions
If any provision is invalid or unenforceable against businesses, the remaining provisions remain in effect. This does not apply to consumer users.
